My Badge Studio Terms of Service

1. Agreement to Terms

By accessing or using My Badge Studio, you agree to comply with and be bound by these Terms of Service. These Terms govern your access to the web-based design tool and all related services provided by My Badge Studio.

2. Use of the Service

You are granted a limited, non-exclusive right to use the Service for the purpose of creating and downloading badge and magnet templates. You agree not to misuse the platform, and in particular not to: use it for any unlawful purpose; attempt to gain unauthorised access to any account, system or data; interfere with or place undue load on the Service; resell or redistribute access to the Service except under a licence we have granted you; or upload content that breaches section 3 below.

3. Content and Intellectual Property

3.1 You Keep Ownership

You retain full ownership of all content you upload to the Service. By uploading content, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt and display that content solely to operate and provide the Service to you — for example to render your design, generate previews, produce your print-ready file and, where you use an AI tool, to transmit the image to the provider named in our Privacy Policy. This licence ends when you delete the content, except for copies retained in routine backups for a limited period.

3.2 Your Promises About What You Upload

The Service manufactures physical goods from the files you supply. You are solely responsible for everything you upload, and each time you upload content or place an order you confirm that:

• you own the content, or you hold all rights, licences and permissions needed to reproduce it on badges, magnets and related products, and to allow us to print or supply print-ready files of it;
• the content does not infringe any copyright, trade mark, design right, patent, trade secret, right of privacy, right of publicity or other right of any third party;
• where the content shows an identifiable person, you have that person’s consent — or, if they are a minor, the consent of a parent or guardian — to use their image in this way;
• the content is not unlawful, defamatory, obscene, hateful, or intended to deceive, and does not depict or promote violence or the sexual exploitation of any person;
• the content does not reproduce a brand, logo, character, team crest, artwork or photograph belonging to someone else unless you can evidence permission to do so.

We do not pre-screen uploads and we are under no obligation to do so. Producing an order is not a statement by us that your content is lawful or that you hold the necessary rights.

3.3 Indemnity

You agree to indemnify, defend and hold harmless My Badge Studio, its owners, employees and suppliers against any claim, demand, proceeding, loss, liability, damage, fine, cost or expense (including reasonable legal fees) brought by a third party and arising out of or connected with content you uploaded, supplied or ordered, or your breach of section 3.2. This obligation survives termination of your account.

3.4 Content Submitted Through Your Portal or Storefront

If you use a client portal, event link or storefront to collect designs from your own customers or guests, you remain responsible under sections 3.2 and 3.3 for everything submitted through it, exactly as if you had uploaded it yourself. It is your responsibility to obtain the necessary rights and consents from the people who submit to you.

3.5 Removal, Refusal and Suspension

We may, at our sole discretion and without prior notice, refuse, cancel, remove or disable access to any content or order that we reasonably believe breaches these Terms or the rights of a third party, or that we are required to remove by law. Where an order has already been produced we may cancel it and refund it. We may suspend or terminate the account of any user who repeatedly breaches section 3.2.

3.6 Reporting Infringement

If you believe content on the Service infringes your rights, contact us through our contact page with: your name and contact details; identification of the work you say has been infringed; the location of the content complained of; a statement that you believe in good faith that the use is not authorised by the rights owner or by law; and a statement that the information you have given is accurate and that you are the rights owner or authorised to act for them. We will review complete notices promptly and may remove the content while we do so.

3.7 Our Intellectual Property

The Service itself — including its software and source code, user interface, visual design, text, graphics, icons, template library, ready-made designs, and the My Badge Studio name and logo — is owned by us or our licensors and is protected by copyright, trade mark and other laws. Subscribing to a plan grants you a licence to use the Service on these Terms; it is not a sale, and nothing in these Terms transfers ownership of any part of the Service to you.

Your finished files are yours to use commercially. This section protects the platform, not your output: the artwork you create, and the print-ready files you generate and are entitled to download under your plan, may be used to make and sell physical products without any further permission or payment to us. Templates supplied by us as a starting point may be used the same way as part of your own designs, but may not be extracted, repackaged or redistributed as templates in their own right.

3.8 Things You May Not Do

In addition to section 2, you agree not to:

• copy, modify, adapt, translate or create derivative works of the Service, or of any part of its software, code or design;
• reverse engineer, decompile or disassemble the Service, or otherwise attempt to derive its source code, save to the limited extent that applicable law expressly permits this and that right cannot lawfully be excluded;
• access the Service by automated means — including bots, scrapers and crawlers — or systematically download its templates, designs or other content, except for search engine indexing that respects our robots.txt;
• circumvent, disable or interfere with any quota, usage limit, access control, watermark or branding applied to output produced on a free or trial plan, or misrepresent your plan or entitlement in order to obtain output you have not paid for;
• remove, obscure or alter any proprietary notice, watermark or branding that the Service applies to files it generates;
• rent, lease, sublicense, resell or otherwise make the Service available to third parties as a service of your own, except under a reseller or licence arrangement we have granted you in writing.

These restrictions apply to the Service itself. They do not restrict what you may do with your own artwork or with the print-ready files your plan entitles you to download, which are governed by section 3.7 above.

4. Payments and Subscriptions

Access to premium features requires a paid subscription. Subscriptions auto-renew unless cancelled. Except where section 6 or the mandatory law of your country provides otherwise, payments are final and non-refundable.

5. Limitation of Liability

To the maximum extent permitted by law, My Badge Studio shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the Service.

6. Termination and Account Deletion

6.1 Cancelling Your Subscription

You may cancel your subscription at any time from your account page. Cancellation stops future renewals; your paid features remain available until the end of the period you have already paid for. Except where the law of your country requires otherwise, amounts already paid are not refunded pro-rata.

6.2 Deleting Your Account

You may ask us to delete your account at any time by emailing support@mybadgestudio.com from your registered email address. We will verify the request and complete the deletion within one month. Deletion is permanent: your sign-in, profile, uploads, saved projects and portal data are removed and cannot be recovered, so export anything you want to keep first. Some records are retained as described in our Privacy Policy — principally invoices we must keep for tax purposes and a minimal record of the deletion itself.

6.3 Suspension and Termination by Us

We may suspend or terminate your account, with notice where practicable, if you materially breach these Terms — including section 2 (misuse) or section 3 (content and intellectual property) — if payment for your subscription fails and is not remedied, or if we are required to do so by law. For serious breaches, including unlawful content or attempts to compromise the Service, we may suspend immediately and without notice.

If we terminate your account other than for breach, we will refund the unused portion of any period you have already paid for.

6.4 Effect of Termination

On termination, your right to use the Service ends and we may delete your content after a reasonable period. Sections 3.3 (indemnity), 5 (limitation of liability) and 7 (governing law) survive termination, along with any provision that by its nature should survive.

7. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of India.

The courts at Chennai, Tamil Nadu, India shall have exclusive jurisdiction to settle any such dispute or claim.

Consumers. If you use the Service as a consumer rather than in the course of a business, nothing in this section removes any protection you have under the mandatory laws of the country in which you live, and nothing prevents you from bringing proceedings in the courts of that country where the law of that country gives you that right.

Severability. If any provision of these Terms is held to be invalid or unenforceable in any jurisdiction, that provision shall be treated as removed for that jurisdiction only, and the remaining provisions shall continue in full force and effect.
